Amended and Restated
Articles of Incorporation of the
Granite Education Association
A Nonprofit Corporation
Pursuant to sections 16-6a-1003 and 16-6a-1006 of
the Utah Revised Nonprofit Corporation Act, Utah
Code Annotated, 1953, the Granite Education
Association hereby adopts the following Amended and
Restated Articles of Incorporation:
FIRST: The name of the Corporation is the
Granite Education Association.
SECOND: The following Amended and Restated
Articles of Incorporation were duly adopted by the
members of the Corporation:
We, the undersigned natural persons of the age of 18
years or more, acting as incorporators of a
corporation under the Utah Revised Nonprofit
Corporation Act, adopt the following Amended and
Restated Articles of Incorporation for such
Corporation:
Article I - Name
The name of the Corporation is the “Granite
Education Association.”
Article II - Duration
The period of its duration is perpetual.
Article III - Purpose
This Corporation is nonprofit. It is a
professional association in nature and has as its
general purpose the advancement of its members
professionally, economically, and socially; and the
promotion of public education.
Article IV – Membership
The Corporation shall have members: the classes of
membership, the manner of appointment of membership,
the qualifications and rights of members, and the
provisions for termination or forfeiture of
membership shall be set forth in the Constitution
and Bylaws.
Article V – Policy-Making Body
The Corporation shall have a general policy-making
body the name, organization, membership, and powers
of which shall be described in the Constitution and
Bylaws.
Article VI – Board of Directors
The Constitution and Bylaws shall provide for a
Board of Directors to manage the business of the
Corporation. The Constitution and Bylaws shall
provide for the name of the body, the number of
directors, terms of office, manner of election and
removal from office, duties and such other
qualifications as deemed necessary.
Article VII - Officers
The Constitution and Bylaws shall provide for other
officers of the Corporation and the manner of their
election and removal from office, terms of office,
duties and such other qualifications as deemed
necessary.
Article VIII - Committees and Task Forces
The Constitution and Bylaws of the Corporation may
provide for committees and task forces, and for
their purpose, duration, and operation.
Article IX - Supremacy Clause
These Amended and Restated Articles of Incorporation
shall prevail over conflicting provisions of the
Constitution and the Bylaws, or any other policy,
rule, direction, or guideline of the Corporation.
Article X - Amendments
Amendments to these Amended and Restated Articles of
Incorporation shall be made according to the laws of
the State of Utah governing nonprofit corporations.
Article XI – Constitution and Bylaws
Section 11.1 The
Constitution and Bylaws shall be the fundamental
documents governing the structure and operation of
the Corporation.
Section 11.2 The
Corporation shall have a Constitution, but until
such time as a Constitution is adopted, the Bylaws
govern the Corporation.
Section 11.3 The
Constitution and Bylaws shall be enacted, amended,
or revoked as provided in the Constitution and
Bylaws.
Article XII - Business Office
Section
12.1 The initial principal
office was 415 East 3900 South, Salt Lake City,
Utah.
Section 12.2 The
current business office of the Corporation is 875
East 5180 South, Suite1,
Murray, Utah 84107-5218.
Article XIII – Incorporators
The name and address of the original Incorporators
is:

Signed by the original incorporators the fifth day
of October, 1964.

I, Keith Tondro, do hereby certify that I am the
acting president of the Granite Education
Association and that on the ___ day of September,
2004 at a meeting of the members of the Association,
duly noticed and called pursuant to the laws of the
State of Utah, the number of votes cast for the
amendment and restatement by the members was
sufficient for approval by the members to adopt the
foregoing Amended and Restated Articles of
Incorporation of the Granite Education Association.
